BURLINGTON NORTHERN - SANTA FE ACCESS AGREEMENTS

The Burlington Northern Railroad and the Atchison, Topeka and Sant Fe Railway have made several agreements to grant wider access to their lines in exchange for promises from other carriers that they will not oppose a BN-Santa Fe merger.

The agreements include:UNION PACIFIC

* Union Pacific Railroad access to Superior, Neb., site of major shippers' grain elevators.

SOUTHERN PACIFIC

* Southern Pacific Lines trackage rights between Pueblo, Colo., and Fort Worth, Texas, between Kansas City and Fort Worth, and between Hutchinson, Kan. and Chicago.

* SP also was given acciss to portions of BN and Santa Fe track in Kansas and access to shippers in several cities, including Galesburg, Ill.

* SP also garnered connections with short-line railroads in Illinois, Missouri, Kansas, and Texas.

* BN and Santa Fe received use of an SP line between Caldwell, Texas, and the Mexican border at Eagle Pass and the option to use SP's route between El Paso, Texas, and Hutchinson, Kan.

KANSAS CITY SOUTHERN

* Kansas City Southern Lines also made a multifaceted agreement that included access for KCS to lines between Kansas City and several communities, including St. Joseph, Mo., Lincoln, Neb., Omaha, Neb., and Council Bluffs, Iowa.

* In addition to creating a direct link between its Port Arthur, Texas, terminal and Wyoming's Powder River Basin coal fields, KCS was allowed to reach East St. Louis. Ill., and Memphis, Tenn. In exchange, Santa Fe and BN gained broader access to New Orleans via Dallas.

While deals were reached with some carriers, other negotiations ended without an agreement, including fruitless discussions with Illinois Central Railroad.
