Click Commerce to acquire Btrade

Click Commerce on Friday said it has agreed to acquire bTrade in a stock deal that would enable Click Commerce to link its channel marketing and sales software to UCCnet, an online trading network for the consumer goods industry.

Under the deal, Chicago-based Click Commerce would issue 850,000 shares of common stock and repay $1.2 million of bTrade debt. Based on Thursday's closing price of $4.65 a share, the stock is valued at about $3.6 million. The transaction is expected to be completed in early June.

Click Commerce sells the Allegis Ebusiness Suite, which includes a broad range of software tools for managing channel marketing and sales processes.

BTrade sells software and services that enable retailers to synchronize their product catalogs with UCCnet's Global registry. UCCnet is part of the Uniform Code Council, which is responsible for the UPC codes found on all packaged goods.

BTrade hosts its synchronization software for more than 2,500 companies, including FedEx Corp. , Honda, Citibank, Harley Davidson, Unilever and RCA, according to the Irving, Texas-based company.
